Terms of Service

1. Acceptance of Terms

By engaging Aviga for any service — including but not limited to MVP development, Fractional CTO services, AI integration, cloud infrastructure, full-stack development, or technical consulting — you agree to these Terms of Service. These terms govern all work performed by Aviga ("we," "us") for the client ("you," "client").

2. Services

Aviga provides technology services as described in individual Scope of Work (SOW) documents or service agreements agreed upon prior to commencement. Each engagement is governed by the specific SOW, which defines deliverables, timelines, and acceptance criteria. Services begin upon receipt of initial payment and a signed or email-confirmed SOW.

3. Payment Terms

Fixed-scope projects require 50% upfront and 50% upon delivery unless otherwise agreed in writing. Monthly retainer engagements are invoiced at the start of each calendar month, net-15. Overdue invoices accrue interest at 1.5% per month. Aviga reserves the right to pause or terminate work on overdue accounts after 14 days written notice.

4. Intellectual Property & Ownership

Upon receipt of full payment for an engagement, all intellectual property developed specifically for the client project — including source code, designs, documentation, and configurations — transfers to the client. Aviga retains no licence to use client-specific IP after handover. Aviga may use generic patterns, reusable components, and open-source libraries that remain under their respective licences. Aviga's own tools, frameworks, and products (including Smllr) remain Aviga's property.

5. Confidentiality

Aviga treats all client information as confidential by default. We sign mutual Non-Disclosure Agreements (NDAs) before any substantive project discussion. We do not disclose client names, project details, or technical information without explicit written consent. This obligation survives termination of the engagement indefinitely.

6. Scope Changes

Changes to agreed scope require a written change request (email accepted) with revised estimates. Aviga will not begin out-of-scope work without client approval. Minor UI/UX refinements within agreed designs are included; new features or significant changes constitute out-of-scope work.

7. Post-Launch Support

Unless otherwise specified in the SOW, fixed-scope projects include two weeks of post-launch bug fix support at no additional charge. Bug fixes are limited to defects in delivered code; new features, enhancements, or changes to requirements are out of scope and billed separately.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Aviga's total liability for any claim arising from a service engagement is limited to the total fees paid by the client for that specific engagement in the three months preceding the claim. Aviga is not liable for indirect, consequential, incidental, or punitive damages, including but not limited to loss of revenue, loss of data, or business interruption.

9. Termination

Either party may terminate a monthly retainer engagement with 14 days written notice. Fixed-scope projects may be terminated by the client with payment for work completed to date; by Aviga with 14 days notice and refund of prepaid amounts for undelivered work. Aviga may terminate immediately for non-payment or material breach.

10. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes arising from these Terms or from engagement with Aviga shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India. For international clients, disputes shall first be attempted to be resolved through good-faith negotiation.

These terms may be updated. The version in effect at the time of your engagement governs that engagement. Material changes will be communicated by email to active clients.
